Terms of Service

1. Acceptance

By accessing or interacting with the DataChi website at datachi.ai (including any subdomains, collectively the "Website") or using any of the services DataChi provides (the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, your only remedy is to stop using the Website and Services.

Where you are entering into these Terms on behalf of a company or other organization, you confirm that you are authorized to do so. In such cases, "you" and "your" will refer to that organization.


2. Our Services

DataChi provides an autonomous AI Sales Team — a platform that uses large language models and integrations with third-party tools (e.g., CRM, calendar, email, LinkedIn, video-call providers) to automate and assist with sales workflow tasks such as prospect research, meeting preparation, follow-up drafting, call summarisation, and pipeline updates (the "Product"). The specific features, modules, and limitations of the Services are described on our Website and in the documentation accompanying your subscription.

AI-generated output. The Product produces output using probabilistic AI models. Output may be inaccurate, incomplete, or unsuitable for a particular purpose. You are responsible for reviewing, verifying, and approving AI-generated output before relying on it for any decision, communication sent on your behalf, or commitment made to a third party.

We may update, change, or discontinue any feature of the Services at any time. We will endeavour to provide reasonable notice of significant changes where possible.


3. Your account

Some features of the Services require a user account. When you create an account you commit to providing truthful and complete registration details, and to keeping that information current. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

Should you become aware of any unauthorized use of your account, you agree to notify DataChi without delay. We reserve the right to suspend or close accounts that appear to violate these Terms.


4. Your responsibilities

You are responsible for ensuring that your use of the Website and Services complies with all applicable laws and these Terms. In particular, you agree not to:

  • Use the Services for any unlawful purpose or in a manner that infringes third-party rights
  • Introduce malware, viruses, or any other technology that could damage, interfere with, or gain unauthorized access to the Services or related systems
  • Attempt to bypass any security controls or access controls of the Services or related infrastructure
  • Decompile, reverse engineer, or disassemble any component of the Services
  • Upload or process content that is offensive, defamatory, or that violates any law or third-party intellectual property rights
  • Overload or impair the availability of the Services through excessive automated requests or other means

5. Ownership and intellectual property

All rights, title, and interest in the Website and Services — including all text, graphics, logos, icons, layouts, software, APIs, documentation, and other material provided alongside or within the Services — belong to DataChi or its licensors and are protected by intellectual property laws.

Subject to these Terms and a valid subscription, DataChi grants you a limited, non-exclusive, non-transferable right to use the Services for your organization's internal purposes. You may not copy, redistribute, resell, or create derivative works from any part of the Services without DataChi's prior written consent.

The DataChi name and logo are registered trademarks. You may not use them without express written permission from DataChi.


6. Your data

"Customer Data" means all data, content, and information you upload or transmit to the Services. You retain full ownership of Customer Data.

You confirm that you hold all rights necessary to upload Customer Data to the Services and that doing so does not breach any law or third-party agreement. You are solely responsible for the legality and accuracy of Customer Data.

You grant DataChi a limited, revocable licence to process Customer Data solely as necessary to deliver the Services to you. When DataChi handles Customer Data as a processor on your behalf, the Data Processing Agreement applies.

No training on Customer Data. DataChi does not use Customer Data to train, fine-tune, or otherwise improve any general-purpose AI model — whether DataChi's own models or those of our model providers (e.g., OpenAI, Anthropic, OpenRouter). We contractually require our model subprocessors to disable training on data submitted via our API integrations.


7. Fees

Fees for paid subscriptions are set out in your order form or subscription agreement. All fees are due in accordance with the payment terms specified in those documents.

Unless stated otherwise, fees are exclusive of taxes. You are responsible for any applicable taxes, including VAT.

DataChi reserves the right to modify pricing. We will give you at least 30 days' written notice before any fee increase takes effect.


8. Proprietary information

During your use of the Services, each party may share information that is not publicly known ("Confidential Information"). Confidential Information includes, but is not limited to, business plans, technical data, customer lists, and financial information.

The receiving party shall: (a) hold the disclosing party's Confidential Information in strict confidence; (b) use it solely to exercise its rights and perform its obligations under these Terms; and (c) not disclose it to any third party without the disclosing party's prior written consent. This obligation does not apply to information that is or becomes publicly available without breach, was already known to the receiving party, or is required to be disclosed by law.


9. Service commitments and disclaimers

DataChi commits to the following:

  • It holds all necessary rights to offer and provide the Services
  • It will render the Services with reasonable skill and care

Save as set out above, the Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, DataChi expressly disclaims all conditions, representations, and warranties — whether express, implied, or statutory — including any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement. DataChi does not guarantee that the Services will be uninterrupted, free from errors, or completely secure.


10. Exclusion of certain damages

To the fullest extent permitted by applicable law, DataChi shall not be liable for: loss of revenue or anticipated savings; loss of data or information; loss of goodwill or reputation; or any indirect, incidental, special, or consequential loss or damage arising from or in connection with the Services or these Terms, regardless of whether such loss was foreseeable or whether DataChi was advised of the possibility of such damages.

Except for claims arising from breach of confidentiality or DataChi's gross negligence or wilful misconduct, DataChi's total aggregate liability under these Terms shall not exceed the total fees paid by you to DataChi in the twelve (12) months immediately preceding the event giving rise to the claim.


11. Your indemnification obligations

You agree to compensate DataChi — including its affiliates, directors, employees, and agents — for any third-party claim, loss, damage, or expense (including reasonable legal fees) that arises from: (a) your use of the Services in a manner not permitted by these Terms; (b) your violation of any applicable law or third-party right; (c) your Customer Data; or (d) any act or omission of your users.


12. Ending your use of the Services

You may stop using the Services at any time. DataChi may suspend or terminate your access immediately and without prior notice if: you breach these Terms; we are required to do so by law; or we reasonably believe that continued access poses a security or legal risk.

Upon termination, your right to access the Services ends immediately. The following provisions survive termination: sections on intellectual property, confidentiality, disclaimers, limitation of liability, your indemnification obligations, and governing law.


13. Applicable law and dispute resolution

These Terms are governed by the laws of Luxembourg. Any dispute that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the Luxembourg courts.


14. Updating these Terms

We may revise these Terms at any time. When changes are material, we will post the updated version on this page and change the "Last updated" date. Continued use of the Services after the effective date of revised Terms constitutes your acceptance of those changes.


15. Severability

If any individual provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.


16. Completeness

Together with the Data Processing Agreement, Privacy Policy, Cookie Policy, and any applicable subscription agreement, these Terms represent the complete agreement between you and DataChi regarding your use of the Website and Services and supersede all prior discussions, proposals, and understandings.
